Insurance

We advise insurance and reinsurance companies and intermediaries in the insurance sector, including banks and financial sector professionals, on all legal and regulatory matters affecting their businesses, both domestic and cross-border.

Through our long-term relationship with Luxembourg’s insurance supervisor, the Commissariat aux Assurances (CAA), we ensure that our clients’ matters are dealt with swiftly and efficiently.

Our insurance lawyers have first-hand experience of domestic and cross-border restructurings of insurance and reinsurance groups, including acquisitions, mergers and business transfers.

They are seasoned in the drafting of agency and brokerage agreements and can advise on all aspects of the distribution of insurance products.

Our Insurance services include:

• Assisting with the launch of new/review of existing insurance products, including life insurance contracts, capitalization bonds and post-contractual documents
• Performing products legal health check and deliver compliance letters
• Analyzing products and asset management activities in light of investment rules and eligible assets requirements as defined by the CAA
• Helping you stay on top of all sensitive regulatory topics such as IDD, insolvency/triangle of security, PRIIPs, AML/KYC, GDPR, professional secrecy, etc.
• Drafting/reviewing all types of insurance-related contracts such as asset management, investment advisory, distribution, brokerage, agency, referral and custodian agreements
• Preparing application files for new Luxembourg insurance companies, EU branches, representative offices, EU service passporting
• Coordinating the entire regulatory approval process
• Helping you assess the feasibility and efficiency of any strategic project relating to internal organization, outsourcing, pricing, restructuring, etc.
• Conducting legal due diligence in the context of both domestic and cross-border M&A transactions and portfolio transfers, negotiating SPA/APA, and facilitating assets integration
• Reviewing and helping you deal with complex claims from clients (in line with EIOPA guidelines) or business stakeholders and provide all required litigation support
